Call to Order: Chair called the meeting to order at 7:05 p.m.
Chair called the roll and established that a quorum of member towns was present. See attached attendance record for details.

5. Accept May 14, 2018 Minutes
Motion to accept the minutes of May 14, 2018 meeting, as amended to correct EBIDA to EBITA. (M/Graham, S/Gillette) – passed
6. Executive Committee Report
Irv reported that most of the Committee’s efforts were directed towards discussion of the H.513 bill.
7. Government Relations Update
H.513 has been signed and is still awaiting the Governor’s signature. A public signing may be in the works. Dan Childs reported on an economic development meeting that was held in Randolph. They were looking to coordinate among a group of towns that could identify specific local economic problems and potential solutions that could be funded to spur economic development in those towns.
8. Construction and Operations Update
Chris Recchia shared a very interesting view showing a dynamic timeline of ECFiber’s progress to date and a PDF of the most recent construction coverage map that is now being shown on the ECFiber website. Thanks to Chuck Sherman for his excellent mapping work.
9. Financials Update
Marty reported that the Audit Committee meeting with the auditors went well this morning and that we have a clean audit. The final audit version should be available in a few days. We are continuing to build and draw down our construction fund but with $4.5M remaining we want to proceed with the next issue preparation but we may choose to delay it by a month or two.
10. Motion to proceed with the issuance and sale of the East Central Vermont Telecommunications District Revenue Bonds Series 2019A, subject to confirmation at the July 9, 2019 regular meeting of the Governing Board.

11. Discussion of Quechee Balloon Fest, Tunbridge Fair and Farmer’s Markets
Discussion of planning for Quechee, which starts on Friday. Dave talked about communications committee discussion on Farmers’ market attendance. Irv talked with Norwich Farmer’s Market manager. A non-profit/public service groups table exists near the entrance.
12. Old Business
Jim Masland discussed some of the many concerns for an entity taking over the CoverageCo pole-top cellular devices operation. He mentioned a recent article that suggested a possible availability of those devices for Towns to operate and that there might be a couple of towns in Southern Vermont that may want to do so but ECFiber is not interested in doing so itself. Dan Leavitt reminded the Board of the Executive Committee’s recent micro-cell discussion, which recorded in the June minutes that ECFiber should not go beyond being “willing to provide backhaul on commercially reasonable terms.”
