ECFiber is an interlocal contract amongst those towns who voted at Town Meeting in 2008, to join. The Selectboard of every member town and the City Council of Montpelier, name a delegate and alternate to the EC Fiber Governing Board. The Governing Board adopts by-laws and operating policies and procedures, and elects an Executive Committee to handle matters that may arise between monthly meetings of the full Governing Board. Monthly Governing Board meetings are generally held at Vermont Law School, Oakes Hall, starting at 7 pm on the second Tuesday of every month. Those meetings are open to the public.

ECFiber has also created a wholly-owned subsidiary, ECF Holding LLC, in order to be eligible for loan financing under the federal government’s various broadband programs. ECF Holding LLC is a manager-managed, limited-liability company whose managers are members of ECFiber’s Executive Committee, ex officio (new Executive Committee members automatically become LLC managers).
ECFiber has entered a Design-Build-Operate-Transfer agreement with ValleyNet, Inc., a non-profit 501c3 operating company. ValleyNet hires the staff and enters contracts with outside vendors as needed to implement the ECFiber project. Under the DBOT, large contracts are subject to review by the ECFiber Executive Committee.
